Board of Directors Information

The RCA is the visual and performing arts centre in Kelowna’s Cultural District. It is governed by the KVPACS (Kelowna Visual Performing Arts Centre Society), a non-profit organization with a 12 member Board of Directors.   

The KVPACS works to improve the cultural and social quality of life in Kelowna through the arts. The Board has a broad range of experience, skills and knowledge.  Consider bringing your skills set to the Board and supporting the arts.

The Board needs Directors with experience in the Visual and Performing Arts (performing and/or administration), Public Relations, Strategic Planning, Facility Management, Community Building, Business and Non-profit management, and Fund Development. 
 
Experience in the following areas is an asset:

  • Have attended events, performances and/or programs at the RCA
  • Have demonstrated an interest in the arts
  • Have familiarity with non-profit Board governance 
  • Have familiarity with financial oversight
  • Have previous Board experience
  • Have familiarity with the BC Societies Act

Commitment

  • Fulfill a 1-year term (subject to renewal to a 6 year term maximum)
  • Attend 11 Board meetings per year (last Tuesday of each month at 5pm, excluding December)
  • Attend one AGM per year in the Fall
  • Attend one full day annual Board retreat
  • Participate on at least one Board Committee
  • Participate in Board governance training
  • Represent the Board at community and municipal meetings and events

Board Eligibility

  • Nominees must be a member of the RCA at the time of application

  • The KVPACS encourages nominations from all members of the community including members of the Indigenous, 2SLGBTQIA+ and BIPOC communities
  • As required by the BC Societies Act, applicants must be at least 18 years of age, cannot be an undischarged bankrupt, or been convicted of an offence involving fraud. 

Board Responsibility 
The Board hires an Executive Director (ED) who manages staff and oversees programming and services offered at the RCA.  The ED administers the Master Lease of the RCA from the City, and Sub-Leases of RCA space to tenants.   
While the KVPACS Board is responsible for the strategic direction and financial oversight of the RCA, the Executive Director is responsible for the day-to-day operations of the facility.
The KVPACS is a Governance Board so interactions are limited to providing strategic advice and direction to the Executive Director.  There is no day-to-day involvement with the staff and operations.


Relationship with the City of Kelowna
The Board recognizes the importance of working in partnership with the City to benefit the community.  The City owns the RCA building and leases it to the KVPACS for $1.00 per year.  The City also provides an annual grant, roughly 30% of the +$1 million operating budget.  The KVPACS is responsible for securing the remaining 70%.  

Committee Structure

  • There are seven (7) Board Committees which are:
  • Artistic Advice
  • Governance
  • Human Resources
  • Nomination
  • Strategic Planning
  • Finance
  • Financial Sustainability

Directors must sit on at least one Committee. The time commitment varies by Committee but is usually a minimum of one meeting per month, with additional work as required.

Director Duties
Directors are expected to:

  • Be prepared for, and attend, Board and related meetings
  • Make a serious commitment to participate in Committee work
  • Build a collegial relationship with other Board members
  • Participant in the Board's annual evaluation and planning efforts
  • Attend City Council meetings and events to represent the Board
  • Be professional when representing the Board in the community  

BC Liquor License Required Documents
The RCA has a BC Liquor License.  As a result, Directors must complete a Criminal Records Check and a Personal History Summary for a Liquor Licence Application upon joining the Board.

Mentorship & Orientation
New Board members are mentored by a current Director and provided robust on-boarding materials, training and a facility tour.
 
Nomination Process
The Nominations Committee will review the nominations received and recommend to the Board, the nominees to put forward at the AGM to join the Board.

Applicants will be advised of the Nominations Committee’s decision by November 3, 2023.

Election Process
Voting takes place during the KVPACS Annual General Meeting (AGM) on November 14, 2023.  Nominees attend the AGM.

Next Steps

within a few days of the AGM.
